Research On The Risk Of Chinese Enterprises' Cross-border M&A And Its Countermeasures

With the accelerated process of economic globalization and the Chinese enterprises has grown more and more, Chinese enterprises began to consider cross-border M&A as main way for foreign investment and expand the international market. M&A mention to transactions for property rights, through the transfer the property rights of enterprises and the control of the assets reorganization, it is the important way to the external growth of companies.From the characteristics of M&A and M&A practice at home and abroad, the acquisition is a high risk capital activities. Especially for Chinese enterprises cross-border mergers and acquisitions, as domestic and foreign enterprises where the market environment, economic environment and the legal environment are different, the greater the risk exists, the risk of improper handling of mergers and acquisitions business will harm to the enterprise and even the state growth.This thesis based on China's board-cross M&A Research, summed up the status quo, characteristic and necessity of Chinese enterprise, then analysis the reason for M&A failure. Evaluate risk through the matrix model and fuzzy related to risk assessment, so that enterprises can be effective in pre-acquisition process to deal with the risks of M&A; Finally, the risks from the policy, legal, financial environment and own ability ,give advise to put preventive measures with a view to China's enterprises in cross-border mergers and acquisitions.
