Since 2004, state-owned banks adopted a series of reform measures of improving corporate governance. Listed state-owned banks how to further promote the reform of the governance structure under the new shareholding structure has become the focus and hot problem which theoretical and practical concerned presently. In response to these issues, this paper tends to make a comprehensive and systematic analysis and discussion.This paper first introduced basic theory of corporate governance structure: traditional theory of property rights and super-theory of property rights, shareholder supremacy theory and stakeholder theory, principal - agent theory and internal control theory, which provides the theoretical basis for the after text analysis. In the second chapter, this paper combined the history evolution of our country's state-owned commercial bank management structure, pointed out the deficiencies and shortcomings of governance structure presently, such as principal - agent problem still exists, information disclosure mechanism is imperfect, internal control system is still imperfect, state-owned commercial banks'regulatory efficiency is inefficient etc. By other's faults, wise men correct their own, hence, draw lessons from the experience of internationally developed country's state-owned commercial banks governance structure reform, in the furth chapter, based on the case of Britain and the United States, Germany and Japan commercial bank reform, analysed the inspiration of international state-owned commercial banks reform for perfecting our country bank management structure. At the last of the paper, point to state-owned commercial banks listed how to further improve the governance structure, it addressed related recommendations.This paper considers, joint-stock reform bear initial results and listed successedly which plays an active role in promoting state-owned commercial banks governance efficiency, but it doesn't mean fine and complete in everything and state-owned commercial banks governance structure completed. Under the new ownership structure after listed, though ownership structure is diversity and decentralization, still exists the possibility of administrative intervention, and still exists the problem of internal control, the choice of management and constraints problems, incentives mechanism problem. Therefor, perfecting state-owned commercial banks governance structure, still need to further improve state-owned commercial banks the internal management structure under the framework and conditions at present, advance the construction of external management mechanism, estalish the effective management structure and realize governance objectives, build good financial ecological environment.
