The reform and opening of Chinese economy started from 20 years ago, China's financial industry has made considerable headway. Industry and Commercial Bank of China (ICBC), Bank of China (BOC), China Construction Bank (CBC) and Agriculture Bank of China (ABC),"Big Four"is the main part of financial industry and plays a key role in Chinese financial fields for a long time. The state-owned commercial banks not only to support the development of economic construction and the reform of financial system, but also maintaining society's safety and steady which has made positive contributions. However, with the constant reform of economy and finance, the problems and contradictions of the state-owned commercial banks are increasingly prominent, which existence must lead to poor efficiency of operation, high risks of finance and lowly marketing competitive. That will further hinder the development of national economy severely and can't adapt the needs of the market economy. Therefore, the most important thing is the reform of state-owned commercial banks in financial system reform.With the promotion of financial system reform, the state-owned commercial banks also proceeded a series of reformations that have the character of commercial bank, though obtained the certain result, it still stay around to put to every kind of relations ordered, perfect operating mechanism, all these reformations did not touch the depth problems on the property right system and corporate governance. After entering WTO, facing the competition of overseas banks, urgent issue which need to be solved is system, reform has been gradually put forward to the schedule. From the scope of the world, the joint-stock companies are based on diversified stock share which have become the main organizational form of modern commercial banks. Under these circumstances, there should be a thorough shareholding reform within the state-owned commercial banks, and thus set up is a modern banking system featuring"clear property rights, clarified right and responsibility, separated government and enterprise, scientific management".
