Along with the perfection of our country market economy system and the development of the market competition,the professional managers even more demonstrate their important role in the enterprise operation. However,because of lacks of the survival system and the professional environment,China's professional managers have not obtained status as the western nation.It is pointed out,how to perfect the professional manager market in our country,how to incentive and restrain professional managers,is the topic that many experts and scholars have studied in the last few years.Based on the research results of those experts and scholars,this article tries to solve the problem how to incentive and restraint professional managers in family firms in our country.This article is made up of six parts of contents,the first part of introduction introduces this article's writing background,the domestic and foreign research present situation as well as this article's innovation; The second part that is based on the analysis to the family firm present situation,elaborates the professional manager and its background, pointes out the problems which the professional manager exists in our country family firm,proposes the necessity to drive and restraint professional managers and its significance in the family firm.The third part has carried on the summary to the family firm manager professionalism general theory,analyzes the agent theory and the human capital theory,and conducts the research to the relations between enterprise owners and the professional managers,then analyzes the problems after the employment of professional managers and the factors which can influence if professional managers will abide by their pledge. The fourth part has mainly analyzed the way that family firms in American, Japan and the Southeast Asia incentive and restrain professional managers.According to the professional managers' current working conditions of our country family firm and their need,the fifth part analyzed the shortcomings about our country family firms' incentive and restraint mechanism for professional managers at present.The sixth part elaborated the principles that should manifest to the professional manager's incentive and restraint,proposed ways that the family firm professional manager drove and restraint professional managers effectively.This article mainly utilizes the theoretical analysis method,as well as the method of comparison and qualitative research,analyzes the present situation of professional manager incentive and restraint mechanism In our country family firm,points out some pieces of advice in order to provide mentality for the perfection of incentive and restraint mechanism and the further research of the problem.
