This dissertation mainly aims to study the incentive and restraint mechanism (IRM) of Professional Manager (PM). In modern enterprises, the PM plays a more and more important role. Our country has already joined WTO, enterprises of our country will face the fierce market competition day by day, and the shortage of PM has been restricted the improvement of the enterprise development and competitiveness seriously. And, in China, we still have not formed the PM's system of the similar western developed (such as U.S.A.) yet. The study of this dissertation will help us, to abundant modern enterprise's theory, to set up and perfect the PM's system, to enlarge the team of PM in China, and to improve the economic benefits of enterprise. So, there's importance theory and realistic meaning in this dissertation.This dissertation is divided into three parts altogether: Part 1 aim to introduce the background of PM, studying content, innovation point, and theory foundation and study methods of this dissertation. Part 2 included chapter 2, 3 and 4. This part, studying the concept of PM and incentive theory interrelated, putting forward four-type human capital of PM in professional manager market (PMM), five-type contract governance on the behavior of PM, and five-type incentive and restraint mechanism of PM. Part 3 included chapter 5 and 6. This part, studying the contract model (compensation model and market model) of incentive and restraint of PM, joins various kinds of contracts and the behavior of the PM through the form of the contract chain, and build a new PMM for PM. Finally, summarized full text, and proposed studying the prospect.The innovation of this dissertation includes: studying the concept of PM and incentive theory interrelated, putting forward four-type human capital of PM in professional manager market (PMM), five-type contract governance on the behavior of PM, and five-type incentive and restraint mechanism of PM. Joins various kinds of contracts and the behavior of the PM through the form of the contract chain, and build a new PMM for PM.
