Although the development of family business has more than 20 years of history, the family business plays an important role in the growth of the national economy. With the continuous advance of China’s market economy, transformation of mode of development of economy and industrial reconstructuring, some family businesses have good development,but there are a lot of problems in terms of corporate governance. The approach of family-style management makes family businesses hard to break through the current phase, even introducing some larger family businesses which introduce the professional Managers, but lack of professional manager’s incentive and constraint mechanism. Therefore, in the context of great development of the real economy, the research on corporate governance of family businesses and incentive mechanism of the professional manager has important theoretical and practical value.This paper is divided into four parts:(1) introduction to the main significance, the research methods and study of the content of this article.(2) discuss on the theories of corporate governance, as well as family status and problems of the introduction of professional managers.(3) take the Sichuan Jinzhong Food Co.,LTD for example, has an analysis of the corporate governance of family business, include the feature of family business, strengths and weaknesses of corporate governance and so on.(4) policy recommendations to improve the corporate governance of family businesses.
