The global Enterprises have undergone a history of more than 100 years of M&A and already happened five times of M&A tide so far. It will exert a far-reading influence to the international economy, including Chinese economy. While bringing the development opportunities, M&A makes the enterprises confront a certain risks. The numerous positive researches at home and abroad indicate a great deal of risks existing in the course of enterprise's M&A make the behavior course and result of M&A with great uncertainty. If control and do their best or not, these risks certainly will cause M&A to fail, thus cause enterprises to suffer the enormous economic losses. So ,the intensive research of M&A risk of enterprise not only have great theoretical research value but also have extremely far-reaching directive significance in practice.This article is the research about the risk of M&A in our country and belongs to the research category of microscopic Finance. Utilizing the theoretical analysis and the real diagnosis analysis method in the article, through the comparison of a positive and a negative precedents and on the basis of systematic demonstration of M&A risk in the United States,we put forward the enlightenment to our enterprise M&A. While recalling the history of our enterprise M&A, we study the general and the particular risks thoroughly which our enterprises exist and raise the corresponding countermeasures and recommends. Through the analysis, the author believes that we should keep our enterprises'risk away from the microscopic way of covering M&A risk and the macroscopic measure of dodging M&A risk.1. In the light of the different risks of three stages (preparation stage, execution stage and conformity stage) in the course of enterprise's M&A, we adopt the corresponding countermeasures.2. From optimization of the market environment, reinforcement of the legislative work and perfection of the capital market,property right trade market and so on, we propose the systemic suggestion to dodge the particular risks of M&A in our country.Embarking from theoretical and practical perspective and combining the Chinese and foreign living examples of enterprise M&A, the author proposes the corresponding countermeasures in the article. It has a certain feasibility with a view to preventing and eliminating the risks helpfully.
