For a long time, entrepreneurs were considered productive. But Baumol believes a different system that it will lead entrepreneurs to the productive or non-productive behavior in different institution, and the entrepreneur is not necessarily productive. Since reform and opening up, China's economy has experienced a series of institution changes. These institution are, to varying degrees, impacting and stimulating China's entrepreneurs. On the one hand, they encourages innovation further, on the other hand, they also have been using for rent-seeking by someone. As a result, analysis the constraints of institutional environment on entrepreneurs, there are theoretical and practical significance.This paper started around the institutional environment of entrepreneur behavior. The work done by the author include the following: (1) Aggregating and commenting the entrepreneur behavior and the its relevant factors of impacting on, on this basis, the paper related to define the concept about entrepreneurs, (2) Analysis the entrepreneurs' essence, that its essence is a self-serving behavior, (3) From a historical point of view , Analysis the environmental constraints of the entrepreneur behavior by times change, and the conditions of the modern enterprise system, (4)Together with China's capital market (share-trading reform) Analysis the environmental constraints on the system behavior of entrepreneurs from a realistic point of viewAccording to the above-mentioned study, the paper presents its conclusions : On the one hand, they encourages innovation further, on the other hand, they also have been using for rent-seeking by someone.; and capital markets is not natural to have the optimal allocation of resources functions, and it should be built on the various aspects of the system based on a relatively perfect. Based on the above conclusions, The paper gives the appropriate policy recommendations.
