Study On The Efficiency Of The Listed Commercial Banks' Independent Director System In China

The corporate governance is facing numerous problems and difficulties in China especially when China is still a transitional country, which need continuously exploring and being solved in the governing practice. Under the economic globalization background, the financial competition is becoming more and more challenging. Most advanced international banks have set up perfect systems for the corporate governance structure during the development of last several decades, and generating continuance developing and changing inner motility.The study on independent director system has made some important achievements, which strongly promotes the practice and development of itself. However, some problems are indispensable. Such as lacking of recognition on the localization course of independent director system in China, and putting it into practice hastily without digesting; the effectiveness of empirical test on the system still focus on the corporate performance. The empirical test on other aspects is hardly seen; the recognition and research on the system's effectiveness are comparatively superficial; What's more, only the traditional logical reasoning method is adopted when evaluated, without trustworthy empirical analysis.This paper mainly studies on whether the system's effectiveness can be truly executed among the listed commercial banks, if they have the real independency and such kind of problems. By introducing the particularity of the independent director system, and by researching on the empirical test, this paper attempts to analyze the problems facing as well as the improved strategies for the Chinese banks to carry out the independent director system through using empirical approach and analysis method.Through analysis, people know that it is necessary for the Chinese commercial banks to import independent director system, and understand the basic knowledge as well as the operational mechanism. In addition, they should find out the shortage of their own by comparing with others. With the developing of the socialist financial marketing, it is helpful for the constantly deepening reform of state-owned enterprises by strengthening on the research of this system, and by making it the effective mode for the corporate governing structure. At the meanwhile, it will play an active part in the setting up a vigorous Chinese form of financial corporate governing mode by combing the rise of people's understanding of it and its development in practice.
