Study On The Relationship Between Independent Director System Of Listed Commercial Banks In China And Their Performance

Independent director system originated from America. As an institutional innovation of listed company governance improvement, it has been widely adopted in listed companies around the world and been introduced into China since the end of 20th century, which has always been the focus of academic researches both at home and abroad since the very beginning. According to the development of independent directors both at home and abroad, there is no questioning that governments, regulatory authorities and even listed companies hope to strengthen the independence and normativity of the board; raise efficiency of corporation governance; protect the interests of investors by improving the independent director system. As time passed, the independent director system has been adopted in China for more than 10 years. How about the effect? Is it good or bad for listed company governance? Today, it is still necessary for us to make a deep study on such questions in order to study its reasonableness as well as scientificity. Meanwhile, such study is also good for relevant department improving independent director system.I select the relationship between the independent director system of listed commercial banks and their performance as content to have a thorough knowledge of characteristics of the independent director system of listed commercial banks in China; analyze the relationship between its characteristics and banks'performance and the effects of environment on those characteristics and performance. In this paper, I chose the research the topic by the combination of normative analysis and case study.I researched the background and structure of the article firstly, in order to know the main contents in the paper. In the part of literature review, I collected the related research publications and documental history to get a clear knowledge on the present situation, on the basis of which I took the empirical research on he relationship between the independent director system of listed commercial banks and their performance with the method of descriptive statistics and metric analysis according to related data collection. I hope to take a look at things scientifically from all sides. Combining mathematical analysis and economy exposition fulfilled a better combination of theoretical and practical significance and also laid a good theoretical foundation for more effective measures. In the end, I offer suggestions on the basis of those conclusions. To sum up the above arguments, the main text is divided into four parts.The first chapter is an introduction, this chapter mainly introduces the background and significance of the studies, and briefly points out the train of thought, the aims, the methods and steps. The second chapter study on the relationship between independent director system and bank performance. In this part, I made a detailed commentary on related literatures first and made a deep analysis on its development Course and current situation. The third chapter involves in empirical study, which is the main chapter. The forth chapter is about conclusions and suggestions. On the basis of above theory and case research, this part gives conclusions and related causes of the problems and offers suggestions for improvement according to the situations in China.
