Asset securitization is to gather the assets to form an asset pool, which must have stable, calculable and foreseeable cash flow but lack of mobility. Then through the structural reorganization, change it into securities that can be sold and circulated on the financial market. In generally, assets that asset securitization choice are the mortgage loans, infrastructure construction project proceeds and so on. In recent years, intellectual property securitization which put intellectual property as securitization's object have appeared in the United States, Japan and other countries. There are some case about copyright, patent and trademark. Some cases are successful, some cases are failure. It is worth for us to pay attention to intellectual property securitization development prospects in our country.The paper try to discuss this question from following aspects:1, From the nature characteristic of intellectual property: compareing the object of intellectual property securitization and traditional asset securitization such as mortgage loans, it's the difference makes the intellectual property securitization face great difficulties in building the asset pool and intellectual property valuation. From experience of America, the film rights and bio-pharmaceutical patents are more fit for securitization. There are many successful cases and useful experience.2, from China's actual situation: the main problems in China include legal system, development of marketing, management level and third-party organizations'service level is inadequate. But there are a number of factors which are propitious to intellectual property securitization. So, we should promote China's intellectual property securitization process with active but cautious attitude.In short, we should adopt a positive attitude to intellectual property securitization and boost this process steadily step by step.
