| The corporate governing structure, just as the corporate system is an efficient way of organization in modern enterprise system, is the core of corporate system. A sound and reasonable corporate governing structure, shall lead to actual seperation between ownership and right of management. A sound governing structure would drive a corporation with orientation to markets and its demand, and shall be able to organize appropriately the capital and human resourses, and carry out the function of social division more effectively; as an efficient organizing method, it is a mechanism shared in common by the whole human being. Modern companies, in context of the socialist market economy, shall not only be brought in line with international customs, but also adapt them to the specific settings of politics, economy, society and culture in our nation. Therefore, establishment of scientific, normative and efficient corporate governing structure, is not only critical to the accomplishment of modern enterprise system, but significantly crucial to listed companies in their effort to perfect governing structure, a sound move to the stock market and desirable performance, to foster the competitiveness, and get themselves involved in the international competition actively, with the aim of outsourcing and competing globally.This essay, starts with the examination of concept of the term corporate governing system, then it explores its various modes.
