Human capital is the key factor in the designing of corporate governance mechanism in the high-tech enterprise. So the paper takes the characteristic of the human capital in high-tech enterprise as a breakthrough point to establish corporate governance mechanism based on the human capital in the high-tech enterprise.The paper first summarizes the human capital theory, and defines the human capital of high-tech enterprise's unifying its actual situation. Then through analyzing the corporate governance theory, the paper obtains the essence of corporate governance. In this foundation, this article analyzes the influence of the human capital theory to corporate governance, and thinking that the property right characteristic of human capital request human capital share enterprise's surplus control power and surplus gaining rights. After that the paper also analysis the surplus control power and the surplus gaining rights, and clears about related concept, laying the foundation for following elaboration.The paper analyzes the characteristic of human capital in the high-tech enterprise, thinking that the particularity of human capital causes the change of property right system in high-tech enterprise, and finally will change the corporate governance in the high-tech enterprise. The key of the designing of corporate governance mechanism in high-tech enterprise lies in taking the human capital as the center, and make the human capital and the material capital share surplus control power and surplus gaining rights.Then this article has designed the corporate governance mechanism based on the disposition of human capital's surplus control power and surplus gaining rights in the high-tech enterprise. The disposition of surplus gaining rights forms the high-tech enterprise's authority assignment pattern namely corporate governance structure. Based on the change of authority competitive ability of human capital, this article mainly carries dynamic analysis on corporate governance organization of the high-tech enterprise in growth period and in mature period, and proposes the corresponding government mold. The disposition of surplus gaining rights demands that the human capital and the material capital should share the company residual together. In the high-tech enterprise, this share arrangement can realize through the designing of stock option mechanism. Therefore, this article has mainly analyzed the essential factor of the designing of stock option mechanism in the high-tech enterprise, and has designed the stock option mechanism.
