Along with the further development of the reformation in the national economic system, the state-owned enterprise reformation has already heen in the critical phase, especially in some large sized state-owned enterprises, there are so many difficulties that the effect of reformation is not prominent. The principal reason leading to this situation is the enterprise property right system reformation is not executed completely. Zheng Zhou Boiler Works, which had been an old large sized state-owned enterprise for over 60 years, turned her factory system into company system in November 2003. In this changing process, the finances owned by the state were drew back entirely, but in fact, because of the obstacles from lots of factors, there are many faults in the design of the enterprise property right system, for instance, the arrangement efficiency in the resource of the enterprise property right system is not carried out, the modern enterprise system is not really established and so on. All of these restrain the further development of Zheng Zhou Boiler Co. Ltd.This thesis is devoted to analyzing the principal problem existed in the company property right system on the basis of appraisal of Zheng Zhou Boiler Co. Ltd property right system. The thesis studies the influence caused by the structure of the company property right on the company management mechanism based on some aspects such as management stimulus, the competition of agent right and the supervision mechanism and so on; makes sure the company property right designing model which has the characters as "the certain concentration degree of the stock-holder and existing several relatively controlling stock-holders and some large share-holders" of the company property right through using the methodology of comparison analysis and SWOT analysis; makes out the schemes of reformation on the company property right system.In order to establish the modern property right system, in my opinion, Zheng Zhou Boiler Co. Ltd must focus on and resolve the key and difficult problem existed in the reformation in the company property right system; build the modern property right system based on the practical situation of the company and the need for the company development; establish the modern enterprise system and improve the operation efficiency of the company thoroughly.
