In the past few years, putting forward by national policies, transnational corporations have sped up to build R&D centers in China. For the purpose of attracting foreign investment, local governments in Yangtze River Delta compete to offer foreign investors incentive policies like favorable tax, lower land-use fees and preferential loan rates. But such over competition on investment attraction has led to series problems which are negative for the development of Yangtze River Delta. As a result, at a time when transnational corporations enter into Yangtze River Delta, how to deal with the relationship of competition and cooperation and strengthen the attraction of oversea R&D centers have became the focal points of "Two provinces and one city" of Yangtze River Delta. From a background of globalization of transnational corporations R&D centers, on the basis of a understanding of relative concepts and current research status, this paper firstly makes an overview of current R&D status and its influence on Yangtze River Delta, and analyzes the advantage of attracting investments from both hardware and software situation; and then builds up several game theory models to explore the influence on oversea investments and its reasons by actions between governments of Yangtze River Delta and transnational corporations and "Two provinces and one city" of Yangtze River Delta during the course of attracting oversea investments; and finally give a proposal from four aspects on how to attract foreign R&D investment in Yangtze River Delta under a new situation.
