With the rapid development of the private-owned enterprises, an important main force has been shaping its form in China's economic construction. Although it has come to the stage of employing the professional managers, yet owing to the reasons of history and social conditions, the owners of private enterprises and the professional managers have met with many obstacles and obstructions between each other while working together.Now here in my dissertation, some more analyses have been concerned about the company of H whose owners set up its policies casually in order to show their authority while sacrificing its development. Therefore, drawing a conclusion that the contradiction resulted from the right of surplus value shared in the profits and also the credibility crisis resulted from the commission trusteeship.Concerning about all these deficiencies, much more systemic analysis have been done in the following aspects: the unqualified competence of the owners on management, the difference between its management and its target, personal liability, personal quality, personal moral certainty and its value priority, state judicial system, human resource market, tradition and its culture, etc. By such efforts, we could come to the conclusion for the cause of the determinant factors.Finally, to solve all these problems, I present my solutions of mechanism on company management in order to establish a mutual trust and mutual restrictions for both of the owners and its managers. Company H explored the way and put forward the mechanism of the apportions of surplus value among our professional managers according to the proportions of 4 : 3 : 3, which took a good effect and promoted its advancement.
