With the rapid development of revolution in information technology, the mode of operation, the organization of production and people's lifestyles are subject to a profound impact. With the arrival of the knowledge economy, "knowledge is the most powerful core compete resources for corporate" has become the consensus of enterprise management. Many entrepreneurs have clearly recognized that knowledge management is the key to maintain enterprise's long-term and sustainable competitive advantages. And how to make the corporate internal knowledge rapid flowing and the effective sharing between employees has become the top priority of knowledge management. At present, our academic research on the knowledge market is still in the initial stage, and the research of corporate internal knowledge market is still immature, therefore, it is greatly theoretical and practical significant for building an effective corporate internal networks knowledge market to the optimal allocation of resources and improving the core competitiveness of corporate.Based on the theory correlative to knowledge the market, the paper reveals the universality of the knowledge market and the particularity of the network knowledge market, and analyses the reason of the corporate internal knowledge market's appearance, its development and existing problems. As long as there is asymmetric knowledge structure, the existence of knowledge trading is necessary. Then the paper raised the opinion that we build the base of corporate internal knowledge market firstly. On the basis of this, the author analyses how to build Web-based corporate internal knowledge market from the multi-angle view. That is improving the corporate organizational structure, building the trading platforms and selecting the appropriate ways of transactions and methods of payment. Firstly, from the organizational structure of the corporate the author analyzed building the base of the web-based corporate internal knowledge market and got a conclusion that if we want to improve the internal organizational structure, the rights should be consistent with knowledge, division should be consistent with coordination and innovation be consistent with cultural and so on. Secondly, from the aspect of the knowledge market Hardware technical support corporate want to build a network trading platform through providing a full range of technical support, including internal network, knowledge map, knowledge base, groupware to improve the efficiency of knowledge trading. Thirdly, through the specific analysis of the ways of trading and the methods of payment, the corporate select the appropriate ways. Then the author expatiated the emphasis and difficulty of the paper—knowledge commodity pricing. The base of the research is the bargaining mode without management participation. In the paper the author analyzed the factors of affecting bargaining and the strategy of buyers and sellers, then looked for the deficiency of the bargaining mode without management participation, for example the difficulty of operational practice, the loss of potential revenue, and damaging the interests of traders. According to the deficiencies the author provided the bargaining mechanism with management participation, that is, at first managers raised a guiding range of price at the beginning of the bargaining progress, then the buyers and sells bargain, ultimately achieve such a goal which is fair, fast and reasonable deal of knowledge commodity. Thus the corporate improve the efficiency of transaction, reduce transaction conflicts, and promote the exchange of knowledge. Finally, from three aspects—rules, encouragement, and culture, the author provided a number of effective proposals, which is a useful reference to long-term stability and prosperity of the corporate.
