A Study On Internal-control System Of Companies Listed On American Otcbb Market

Enterprises, especially small and medium enterprises, have become the key mainstay of promoting the economic development, with their status and function becoming more and more prominent. But the enterprises will inevitably encounter such problems as lacking enough working capital as it develops, and therefore efficiently solving these problems become the necessity of further smoothly development. Some enterprises sought financing by listing on the stock markets to rescue themselves. However, the financing environment looks gloomy for most of these enterprises, so some enterprises chose to finance on the third board market OTCBB which is relatively developing mature and easy for getting the financing. Just as OTCBB only has limited financing capacity compared to the main board or second board of stock market, enterprises regard the OTCBB market as the spring board to NASDAQ or NYSE Euronext market. But these markets have their own rules and regulations that most of the enterprises do not meet. One of the strict requirements is the soundness of the Internal-control system.Based on the study of Chinese companies springboarded on the American OTCBB market, This dissertation firstly summarizes the theories of Internal control system and conduct the integration study of the Internal control, secondly analyzes the problems of the internal-control system of OTCBB companies and propose the related solutions to them, and thirdly studies American Lorain Company' problems and resolutions of its internal-control system as a case study.
