M & A Risk Study

Associated phenomena as the market economy, M & A (Merger & Acquisition, referred to as M & A) has a long history. As a high-risk and high return of an economic activity, M & A has been a rapid increase in their competitiveness, and promote the rapid development of enterprises a powerful weapon, the rapid development in enterprise play an indelible role. In the economic globalization today, precisely because of rapid growth in corporate mergers and acquisitions, expansion of the important role of M & A surging, intensified; while the risk of mergers and acquisitions have been for people concerned about the so-called "One trick accidentally lose the whole game," is M & A reflects the risk. Therefore, the strengthening of risk management M & A has important practical significance.The whole paper is divided into five chapter. In the first chapter of introduction, the paper observes some problems existing in the process of enterprise M&A, combined with the background of economic developments of our county. Besides, the paper presents research emphases and structure of the paper. ChapterⅡ, M & A related theory. Introduces the concepts and theories of M & A-related M & A, risk, M & A risk and risk management. ChapterⅢ,M & A process analysis of risk factors. By M&A process to exist in the acquisition process is divided into strategic decision-making, target selection stage companies, mergers and acquisitions program identified four stages of merger integration, namely the risk factors for each stage of the analysis. Then, ChapterⅣand ChapterⅤ,the risk management theory:risk identification, assessment and prevention are described separately, and strive to build a dynamic risk management system and, ultimately, prevention and control of corporate M & A risks feasible approaches to improve the M & A decision-making and reduce the risk of mergers and acquisitions, mergers and acquisitions to achieve success.
