With the development of the society and deepening of reform, especially improvement of social market economic system and adjustment of government's social function, old system and mechanism of institutions hasn't adapted to requirement of times. Against this background, a significant portion of public institutions will according to the requirement of the social market economic system, have to change to enterprises. The old personnel mechanism has gradually lost incentive function and displayed its limitation, as the human resource management in institutions is affected by traditional planned economy.Therefore, the institutions urgently need to build modern personnel incentive mechanism that are adapted and suitable to them. The key point and the difficulty in reform are the personnel system and the assignment mechanism, whose core is motivation mechanism.Over a long period of time, the earning of employee is distributed equally in state-owned institution. The earning is not dependent of the job achievement, but basically is distributed with salary grade or level, which has the very small difference. Therefore, no matter whether you work or not, no matter whether you do more or less, no matter what your job achievement are good or bad, you will get the same earning. This kind of distribution system is not beneficial. It can not show the value of knowledge and technology. It will discourage the job initiation of the all staff, especially for professional technical personnel. Well, in state-owned institution, the distribution system only can meet with the living requirements of their employee. It can not encourage the employee to show their labor value. On the contrary, it restricts that all kinds of talented persons show their potential ability. So on my opinion, in order to achieve the organization target, we must make great efforts and regard the following as an extremely important question for study or discussion. We may establish a set of encourage system, which is fair and effective, and can strongly stimulate the job initiation and creation of all staff.The thesis discusses the theory about the establishment of motivation mechanism of the institution from various and the multi-angles according to the need of time and the change of external environment.The thesis takes a certain institution as the research object to describe the institution's basic situation and especially discuss the reform of personnel system through actual investigation, and then from the certain institution particularity and institution's universality, proposes the reform direction and the countermeasure of motivation mechanism of human resources of the certain institution.
