China society is going through great change and transconformation along with development of market economy and deep political restructuring. All kinds of non-profit organization come into being and grow vigorously against powerful background of GLOBAL UNION REVOLUTION. It makes contribution to promote our society advanced harmoniously and economical prosperity, also it makes up for government failure and market failure. However, Non-profit organization is not perfect, people give attention to fund squandering, inefficient service and insufficient social responsibility, which blasphemed good reputation of Non-profit organization. Therefore, it is very important to find solutions to these problems. In writer's opinion, during the long term work of non-governmental council, solution to non-profit organization, in the final analysis, lies on its perfect administrative structure. How it can achieve strategic leadership with priority by obeying organization's aim, i.e, solve and administrate main council, is the core and key of internal administrative structure of non-profit organization.This text is on special subject study of non-governmental chamber of commerce and council in City C by adopting domestic and foreign research fruit on non-profit organization council administration with methods of questionaire survey, interview, and field research. It mainly investigates current situation and administration of non-governmental chamber of commerce and council in City C, and analyses environmental reason and personal reason which caused administrative problem of non-governmental chamber of commerce and council in City C. In the end, on the base of previous analysis of text, it constructively put forward ways to administrative structure improvement from macro aspect and micro aspect.
