The H chamber of commerce in Shenzhen of this paper uses field research to describe the relationship between non-institutional role in the development of corporate governance, the chamber of commerce as a case study, in which a number of chamber of commerce uniqueness, determine its autonomy and unique mosaic of the non-institutional governance model, breaking the limitations of club management type.The chamber of commerce will explore the development of democratic governance function, and distinguish the advantages of governance and insufficient for the chamber of commerce in the future road to provide experience and learn to alleviate the long-term rigid governance of non-profit organization.In order to provide feasibility study to break through the bottleneck dilemma.When civil chamber of commerce gradually forms a certain corporate governance structure, they have to closely connect with their actual situation and the environment in China.Good use of informal institutional arrangements include reputation, friendship, trust and other capital relations to compensate the official rules of corporate governance and inadequate material resources. As a network of relationships built on civil chamber of commerce, the importance of social capital in some extent even beyond the formal institutional arrangements. Non-Institutional relations corporate governance is the implementation of the chamber’s governance structure.The relationship between non-institutional capital governance structure had an irreplaceable role.For the purposes of mutual benefit organizations, whether non-institutional relationship management will success or not, it is a key part of the organization’s development in the future.
