We interpret the applicable conditions of the judicial dissolution and clarify the influences of collaboration of human resource to corporate governance by introducing the cases.When there are serious contradictions that are unable to resolve between shareholders of a limited liability company and shareholders can’t quit from the company,we can apply to the judicial dissolution.Perfecting the judicial dissolution of alternative remedies,recovering relationship between shareholders and making the company continue to survive conform to the interests of the related subjects such as shareholders.In the improvement of the system of judicial dissolution, we clear that the company deadlock is caused by corporate governance of collaboration of human resource in the judicial qualitative aspects. In order to establish form of judicial review mechanism and institutionalize and routinize the court mediation,the judicial dissolution of alternative measures should be clearly defined in the legislation to perfect the judicial dissolution of the judicial review process,which could save judicial resources.As a result,courts can be more targeted to handle cases.The particularity of corporate governance of collaboration of human resource is embodied in the company’s articles of association.The company’s articles of association can make special arrangements,adopts the principle of majority shareholders people vote on company issues.In the process of corporate governance,shareholders have voting rights,their personal decisions affect the company decisions.When they can’t make a company decision,the company deadlock occurs.The judicial dissolution is the ultimate legal means to break the company deadlock.The company deadlock is not necessarily lead to judicial dissolution system.The application of the system of judicial dissolution costs a lot,wastes social resources.As a result,companies can’t survive.In order to avoid to apply the ultimate judicial means,we can takes relatively mild alternative measures to ease conflicts between the shareholders and restore company’s daily operations.On the one hand,the company deadlock is caused by the the problems appeared in the process of corporate governance of collaboration of human resource.Corporate governance of collaboration of human resource is not necessarily lead to the company deadlock.On the other hand,referring to foreign mature legislative cases and establishing form of judicial review mechanism could save the judicial resources effective.It could better solve the disputes between shareholders.
