The successful implementation of Employee Stock Ownership Plans (ESOPs) in various western countries was widely regarded. The merit in ESOPs was in terms of establishing effective Employee Incentives and Constrains System in the corporation. This paper introduces the research related to the western models and their characteristics. It applies the Principal- Agent Theory under Asymmetry Information and Incentives and Constrain Theory as a foundation to further expound better alternatives for the reform of state-owned enterprises, such as ESOPs implementation. The ESOP will rebuild the Principal -Agent infrastructure, establish effective Incentives and Constrains System and improve corporate structure in the state-owned enterprise. This paper also points out the issues we are facing in China regarding ESOP implementation and provides recommendations and solutions.
