How to design executive officers' remuneration is a hot topic in both finance theoretical field an^ actual field, whereas integrating it and control rights is one frontier subject in Modern Finance, Starting with Finance, benefiting from profitable results of Modern Enterprise Theory ^ Entrepreneunial Theory and Contractual Theory using such modern economic research methods as theoretical analysis and physical analysis, aiming at enriching Finance theory and promoting the practice of executive officers' remuneration, the thesis explores the control rights and executive officers remuneration of listed company.This thesis is guided by the thought which analyzes synthetically the control rights and executive officers' remuneration of listed company. It analyzes thoroughly the financial reasons of executive officers' control rights, and the distribution of control rights between executive officers and shareholders. Then it demonstrates factors which affect listed company s financial goal ?minimizing agency costs from the angle of principal 梐gent. Under the guide of this financial goal, the thesis explores thoroughly the reason of executive officers who enjoy the residual claimant, concludes that residual claimant is the key to reduce agency costs of listed company and to design reasonably executive officer's remuneration. Afterwards, it discusses the system of basic salary, annual award and assigning annual profits, analyzes the possibility of executive officers human capital exchanging shares. Starting with the realities of Western executive stock option(ESO), the thesis explores the significance and the nature of ESO, describes the practice > existing problems of ESO in China, and put forward some positive suggestions about how to carry out ESO. Finally, the theses discusses the resorting and features of achievement appraisal, explores deeply the change- improvement and enlighten of existing index system in our country, and designs an index system of evaluating executive officers' achievement.
