Based on the case analysis of renovating the relationship between CHINA CAPITAL AIRPORT GROUP CORPORATION and its subsidiary companies, this article gives a theoretical thorough look as well as a practical summary on how to build a successful relationship mechanism between parent and subsidiary companies and scientific management structure.Parent-subsidiary system is a framework with rules and regulations which definitude the investment relationship between parent and its subsidiary company, normatively reconstruct the organization system and build capital linkage, so as to form a cooperation system with holding company as its core and subsidiaries as its main membership. The implementation of Parent-subsidiary system reflects objectively cry for self reformation and development in large-scale enterprises.CHINA CAPITAL AIRPORT GROUP CORPORATION was founded, at the background of deepen innovation on civil aviation system, in the important period of system reformation, reorganization and conversion of increasing style. It's a holding company based on BEIJING CAPITAL AIRPORT GROUP CORPORATION and combined with TIANJIN BINHAI INTNATIONAL AIRPORT, CIVIL AVIATION AIRPORT CONSTRUCTION COMPANY, JINFEI CIVIL AVIATION ECONOMIC DEVELOPING CENTRE and CIVIL AVIATION PROJECT CONSULTING COMPANY.As the parent-subsidiary relationship is concerned, it hasn't been formed between the holding company and its dominating listed company, BEIJING CAPITAL INTERNATIONAL AIRPORT CO.LTD. The juridical person dominating framework is not considerable and the holding company are lack of effective control to BCIA, which leads to the absence of right exertion by the holding company as a dominating shareholder on the three basic right, namely operator selection right, important operation decision-making right and revenue allocation right. This situation behaves as follows: The senior executive group of holding company, the directorate of its listed subsidiary and the operating team are all supervised by the same governmental executive department. The plan of operating procedures are not very clear concern the developing plan of each company and are lack of communication, which pose conflict in same trade by the group members. The channels of information transferring and reporting are not efficient between the parent- subsidiary system, the headquarter of holding company doesn't have the key functions of central planning management, operation evaluation management, to cooperation and its subsidiary companies. Therefore, the renovation of relationship between parent company and its subsidiary company is the key factor of smoothly reconstructing, readjusting industrial relation, building a healthy and modern enterprise system. Based on the evaluation of Beijing Capital Airport Group Corporation's management environment and analysis of relationship between parent company and its subsidiary companies and development strategy and core competition force, under the premise of strengthening and building the corporation's central power, fulfillingan effective management to its subsidiary companies, the article gives an plan on renovating relationship between parent company and its subsidiary companies during the process of setting up China Capital Airport Group Corporation.1. Under the premise of strengthening and building the corporation's central power, fulfilling an effective management to its subsidiary companies, reshuffling of relevant companies according to the development strategy in order to build a solid foundation for mechanism of parent and subsidiary companies. The reshuffling will follow two steps. The first step is to setup the China Capital Airport Group Corporation, which has Tianjin Binhai International Airport, China Civil Aviation Construction Company, China Civil Aviation Consulting Company, and 70% share of Jinfei Civil Aviation Economic Developing Company as its subsidiary companies.
