Joint-stock system is an important modern enterprise system and has evolved into a significant corporate organization mode in the process of state-owned enterprise reform. However, as for reform of the large sized state-owned enterprises, the specific practices of joint-stock system reform remain to be regulated and perfected, thus making it urgent to look into this issue and sum up the experiences in order to push forward Joint-stock system reform. This article, through analyzing the system reform of Sichuan Telecommunication Construction Co., LTD., raises the specific practices modes of system reform that differ according to actual conditions between corporation, hoping that this article' research findings will offer useful experiences to the present state-owned enterprises reform.This article is split into four chapters and following is the brief introduction to each chapter.The first chapter briefs the background of Sichuan Telecommunication Construction Co., LTD. Sichuan Telecommunication Construction Co., LTD. was incorporated in 1999 and a solely state-owned enterprise subordinate to Sichuan Telecommunication Industry Co. In the past years, Sichuan Telecommunication Construction Co., LTD. has supplied large numbers of engineering products and service to China's telecommunication construction cause and contributed a lot to the national economic construction. But, during the transitional period of shifting from planned economy to market economy, innate loopholes of state-owned enterprises are gradually exposed to light. Under the guidance of spirits of the tenth people' congress, Sichuan Telecommunication Construction Co., LTD. took advantage of state-owned enterprise reform policies to implement enterprise system reform, with joint-stock systemreform at the core.The second chapter reviews the process of the system reform of Sichuan Telecommunication Construction Co., LTD., analyzes corporate governance structure and system reform characteristics and explores the great changes and development tendency of Sichuan Telecommunication Construction Co., LTD.The system reform of Sichuan Telecommunication Construction Co., LTD., is built on its own actual situation in order to push forward the joint-stock system reform and the reform spirit of "focus on the large enterprises and give a free hand to small ones" of central government, for the purpose of making clear equity and establishing well-regulated company. Obviously, joint-stock system reform aims to transform the solely state-owned enterprises to mixed ownership enterprises and set up modern enterprise system, characterized by " clear equity, clearly defined rights and duties, separation of responsibilities of enterprises from those of government and scientific management". Only in this way, these enterprises could grow into incorporation entities and competitive entities up to the requirements of market economy, which features "freedom of operation, sole responsibility for profits and losses, independent development and democratic management".The third chapter analyses the systematic characteristics of Joint-stock system economics in China and the reform of state-owned enterprises, and the suitability of Joint-stock system to large enterprises is discussed and the revelation of Sichuan Telecommunication Construction Co., LTD. ownership reform to state-owned enterprises is summarized.The fourth chapter makes comprehensive analysis of Chengdu City state-owned enterprise joint-stock system reform, joint-stock cooperative system reform included, based on analyzing the system reform of Sichuan Telecommunication Construction Co., LTD.1) This chapter presents a brief introduction to Chengdu City state-owned enterprise system reform;2) This chapter analyzes the successful experiences and defects in the process of system reform, through observing the operational performance of joint-stock enterprises after system reform of Chengdu City;3) This chapter examines the achievements of enterprise equity reform and think highly...
