Reforms of state - owned enterprises are hard nuts for all countries to crack. Since 1978,China's state - owned enterprises reforms have been struggling for more than two decades and have realized the transformation from a planned economic system to a market - oriented system step by step. During this period,the institution of enterprises has experienced the evolution from a single traditional state - owned one to a modern one. The evolution reflects not only the study logic of state - owned enterprises reforms,but also where the difficulty is. Taking joint - stock institution (JSI) as the studying object,this thesis discusses the process of the evolution. At the same time,it can also be regarded as an exploration of small- medium enterprises' development from the institution point of view.The thesis is composed of three parts:Introduction,Body and Appendix. The way of thinking and research method of the thesis are dealt with in Introduction. The Appendix mainly discusses the steps and calculating methods of the quantitative analysis used in the body ——AHP. The Body can be divided into four parts:Taking the reforming logic of state - owned enterprises as a starting point,Chapter Ⅰ talks about the process of evolution. After listing the connotation and deficiencies of reforming measures such as deregulation,transformation of returns to taxes and contract and responsibility system,the author points out that the direction of state - owned enterprises is to set up a modern enterprises institution. Then,"gamblers model " and "crops model" are used to demonstrate the above analysis from the information cost and motivating factor point of view respectively. In Chapter Ⅱ,both qualitative and quantitative analyses of reasons why JSI should be chosen are made. First,the author makes a qualitative analysis of the characteristics and basis of JSI. Then a penetrating examination of JSI using AHP,a quantitative method,is made.Some relative aspects arising in JSI are talked about in the third chapter,such as practices,procedures and limitations of JSI are dealt with.Chapter Ⅳ relates JSI and state - owned enterprises reforms closely. Theinstitutional change of JSI is talked about in this chapter. Important and difficult issues in state - owned enterprises such as why it has changed,how and where it will go are discussed. Due to the significance of such issues,the author makes an analytical study of them from both the corporate governance and government's roles point of view. This part is also the central part of the thesis.Generally speaking,the institutional trend of JSI is also the direction of small - medium enterprises reforms,and the research of institutional choice of JSI is the research of enterprises reforms as well. The two sides are relatively consistent with each other. Any comments and suggestions are welcome.
