Aiming at the phenomena that the parent companies invade and occupy the stakeholders' interest of the subsidiary companies in corporation group, from the angle of all the other stakeholders' interest, this article gives a deep theoretical analysis and case study on the protective mechanisms of the stakeholders' interest of the subsidiary companies in the state-owned corporation group.Firstly, by dint of stakeholder theory, the reasons of protecting the stakeholders' interest of the subsidiary companies are expounded. Secondly, from the aspects of the characteristic of the state-owned corporation group, the differences among the stakeholders of the subsidiary companies, and the deficiency of the present laws, the potential and realistic invasions as well as the causes are well analyzed. Thirdly, by practical cases, the forms of the invasions are concluded. Finally, in view of the laws, the corporate governance and the other reforms, the protective mechanisms of the stakeholders' interest are brought forward in this article.
