Transnational corporations often adopt the parent-subsidiary legal structure in their daily business. Those parent corporations' management for their globe purposes. But according to the law of the host country, the subsidiary corporation often has independent corporate personality. So it causes many conflicts between its independent personality and the facts of being controlled. So even the foreign parent corporation's actions infract the advantages of the minority partners or the creditors of the subsidiary corporation, it often can evade liabilities by dint of the subsidiary corporation's independent personality and limited liability. So finding a method to solve the problem of the parent corporation's liability becomes an important task for those scholars who studying International Economic Law.This dissertation bases on the previous studies in existence, analyzes the basic relationship between the transnational parent corporations and their subsidiary corporations. It introduces those theories on the principles of the transnational parent corporations' liabilities. The correlative legislation and judicial practice in the world .Then it particularly analyzes a new way to solve the problem with domestic law by taking China's actualities as an example. Finally, the author also shows his viewpoints to international corporation about this issue.This dissertation consists of four chapters, in total 48 thousand words approximately.
