Hierachical (government&enterprise) and market organizations are traditional governance structure of regulating transaction. Both of them have limitations, during some transactions, they can cause high governance cost. Each other's penetration can make up for their limitations and reduce governance cost, thus causing numbers of middle institutional arrangement, such as strategic alliance, guild and so on, which be called middle organization. Transaction cost school represented by Williamson carried through a deep research of the middle organization between enterprise and market. This paper extend the bound of middle organization to including middle organization between government and market, discussing their essence, creating mechanism and extent. Finally, it processes a demonstration research of China's guild, expounding guild's character, function and institutional exchange in china. More, analyzing current questions of imports & exports chamber of commerce, pointing its development countermeasure in future.
