And, the article extend corporation relation of income distributing to four connection, which are it between corporation and stockholder, between corporation and creditor, between corporation and employee, between corporation and government. But this structure have not achieved its object that form the mechanism of responsibility, authority and benefit are restricted and balanced so that improve operating efficiency. It is very important that construct the proper governance modern for state-corporation. The research object of the article is mostly state-corporation. According to the actuality of state-corporation, governance modern that stockholder, creditor, employee and government govern together and corresponding distributing modern are designed, and advice of reforming distribute system are advanced.
