With the development of globalization, countries worldwide have been tightly dependent upon each other. Not any country could make successful economic construction without any interaction with other countries. And, one of the most remarkable trends of the global market is the greater and greater development of cross-border Merger and Acquisition (M&A), which is changing the global economic situation in a faster and faster way.As one of the fastest-growing economy units worldwide, China has had a deep understanding of the entry to and interaction with the world market after a painful history and years of reform and development. Furthermore, many of the huge enterprise groups of China have had sharp eyes with the changes of the world market. And, some of the far-seeing enterprises have set up to M&A transactions and made great success. However, in despite of all the growth and development that China and its enterprises have made and even the success of these M&A transactions, there is a fully negative opinion to the international competitive power of Chinese enterprises, even not a bit of affirmation. But at present, after years of accumulation, Chinese enterprises have had a strong trend to the abroad M&A. Hence, it is particularly significant to analyze impartially the comparative advantages of Chinese enterprises, which offers them theoretical support and practical guidance.The structure of this essay is as follows: the first chapter is about introduction that indicates the research background, train of thought, research methods and novelty. The second chapter presents the historical analysis and the research of the general rules of M&A, which deduces the general rules of M&A to theoretically support the cross-border M&A transactions of Chinese enterprises. The third chapter clarifies the practical conditions for Chinese enterprises' anticipation in the cross-border M&A transactions to offer the index system for the intended discussing of the essential conditions for Chinese enterprises' anticipation in the cross-border M&A transactions. The fourth chapter studies the comparative advantages for Chinese enterprises' anticipation in the cross-border M&A transactions, which practically supports the cross-border M&A transactions of Chinese enterprises and demonstrates that "it should be a strategic choice for Chinese enterprises to anticipate into the cross-border M&A transactions ". The fifth chapter makes the tactics research of Chinese enterprises' anticipation in the cross-border M&A transactions, which discusses the specific tactics from five layers to offer pragmatic tactic guidance, take precautions against the risks and enhance the success rate of Chinese enterprises' cross-border M&A transactions.By fully reasoning the relevant issues of Chinese enterprises' anticipation in the cross-border M&A transactions with a stepwise research method, this essay aims to provide Chinese enterprises with theoretical basis and tactic guidance for their cross-border M&A transactions.
