Stock Option Plan have at large been introduced by the big corporations of western countries from 1980s.It can inspirit handlers for a long period of time and revolve the benefit conflict between proprietors and handlers. The market economy of China is immature, so there are some problems during the practise of Stock Option Plan.But condition, such as market and law, is getting better and better, so Stock Option Plan must become the most important part of salary combination, and make for the development of corporations in the future.This article mainly focuses on the Stock Option Plan and its application in solving principal-agent problem and its incentive to human capital. At first the article analyses and studies Stock Option Plan theory, the external environment and internal conditions required when implementing stock option plan, and the main problems during the course of practice in Chinese corporations, then use for reference the experiences of foreign corporations and present the feasible solutions and advices.
