After entering WTO, China must agree more foreign enterprise to buy national stock or enterprise's stock in home market. And then, native enterprises must innovate in system to succeed. And so the corporate governance becomes one of the most important activities in company. In other word, it is a countermeasure to WTO.To realize efficient corporate governance, we must understand the current corporate governance in china firstly, and insist on the successive experience. At the same time, we will ameliorate the shortage. This thesis discusses the current condition about corporate governance, and then points out that Chinese corporate governance occurs some problem together with the accomplishment. It is charged upon the function invalidation of directorate and supervisorate, disfiguration in stimulant mechanism and control mechanism and juvenility in enterprise culture. In addition, this thesis analyses some factors which result in the problem and puts forward a direction on corporate governance. At last, it tells us some means to resolve these problems on the base of theory and experience in practice. Exteriorly, a company must emphasizes the function of product market mechanisnu manager market mechanism and capital market mechanism. On the other hand, bank supervise can be also a good way. At the same time, efficient corporate governance can not depart from the high diathesis of investor. Inside, current stimulant mechanism and control mechanism must be perfected. Relation between directorate and supervisorate must be deal with rightly. Some measures must be taken to balance the directorate,supervisorate and manager. Recurring to the above measures, enterprise not only can decrease working efficiency, but also can protect stockholder from infracting. Additional, Chinese enterprise should try their best to optimize their capital structure in property. And this can decrease administerial effect. At the same time, it can make enterprise emphasis on market and stock value much more. It is very important to develop market healthily and to attract international capital successfully.
