Alliance structure plays crucial role in alliance management at strategic alliance. The alliance structure not only impacts success of strategic alliance, but also effects advantage complementary and mutual develop between the partners, so the choice of appropriate alliance structure deserves particular attention. With banking as an example, this paper proposes a process model of strategic alliance structure election. The model consists the following two parts: the decision-making by itself stage and the structure coordination stage. As the cores of the model, utility and risk are references of the first stage; at the same time, they direct the coordination at the second stage. The objective of the first stage is to maximize the utility and minimize the risk; at the second stage, it is needed to coordinate the different structure preferences by match between utility and risk. In addition, this paper points out some deficiency of the model and develop a number of propositions to facilitate the future alliance study.
