The Company System of independent director is a kind of company management system originated in America in the 1960' s or 1970' s, which is wide spread adopted by many countries, Due to short development period, this system needs more perfection, so it is inevitable for it to exist some demerits, but these demerits can' t cover its tremendous value in the direction of managing company.In the 1990' s, some people in theoretical or judicial field attempted to introduce this system into our country to borrow company-managing experiences from the western countries, but owing to the shortage of relevant law regulations and influences of our country' s special political or economic system and social environment, the system of independent director didn' t work well in our country, so that some people asserted that the system was not suitable to our country and denied the establishment of this system in our country. This article thinks that the difficulties that the system is facing in our country now can' t become the reasons to deny this system because environments are changeable and systems can be creative As long as we study the system thoroughly and modify it according to our national conditions; this system can surely work well.The body of the article is divided into four parts: The first part explores the origin of the company system of independent director and its development in relevant countries. This part introduces the historic background and development period of this system. This part mainly introduces practice of this system in America and Japan because this system is mature in America and Japan; the second part briefly introduces functions and organizations of the company system ofindependent director; the third part explains the problems and reasons which our country will face after we introduce the company system of independent director; the fourth part raises solving methods and legislative suggestions. This part puts forward relevant measures according to the problems raised in the former part, and suggests the legislative regulation's of this system in the company law and valuated laws.
