China's Company Law The Supervisory System Research

The topic concerning the structure of corporation administration is a burning issue on theoretical study of company's law at home and abroad. In China's Company Law, there are many problems regulating the structure of corporation administration, especially the supervision system. Therefore, the main content in this study is focused on the supervision system of China' Company Law. Moreover, the study is put an emphasis, by learning advanced system from other nations, on supervision system reconstruction of China's Company Law in accordance with present binary system: To identify the responsibilities of supervisor's board and independent director, respectively; To find the path of power realization. Finally, the optimal combination of supervisor's board and independent director is able to perfect the supervision system of China's Company Law to administer company effectively.
