Research On Questions About Improving Inner Supervision System Of Chinese Listed Companies

How to establish an effective supervision mechanism inside the listed company is one of the key problems of corporate governance,which has been a hot problem in corporate governance among countries these years and also a tough issue in our country.Whether the supervision mechanism inside the listed company is effective or not affects the efficiency of corporate governance,and also affects the development of listed companies.According to current legislation,listed companies in our countries implement the supervision mechanism in which the board of supervisors and independent director system co-exist.Toward this.China's theoretical field has many different voices.However the writer holds the point that the supervision problems of our listed company are not because the current supervision mechanism is wrongly designed,but because there isn't proper related system.So we should make efforts to improve the internal supervision mechanism.This thesis consists of four chapters.The first chapter sets forth the fundamental problems about the supervision mechanism inside the listed company,which is the base of researching the supervision mechanism inside the listed company in our country.The first part of this chapter,starting with the connotation and classification of company supervision mechanism,explores the connotation of supervision mechanism in company,The second part of this chapter sets forth the theoretical basis of establishing supervision mechanism inside listed company in light of jurisprudence,which concludes the separation of ownership and the right of management,transfer of power focus,theory of check and balance and theory of agency by agreement.The second chapter comparatively analyzes the internal supervision mechanism in companies of the USA,Germany and Japan.This chapter firstly analyzes respectively and systematically the main content and character,the background of formation and development process of the supervision modes in the USA.Germany and Japan.And then there is a comparative conclusion:factors affecting supervision mechanism in companies.and common characters and improving trend of supervision mechanism in companies among countries.All this can help our country to improve the supervision mechanism in listed companies.The third chapter describes the current situation and problems of supervision mechanism inside the listed company in our country.Firstly this chapter sets forth the corporate governance problems from the factual situation of corporate governance in China's listed companies.And then it describes the evolution and current situation of supervision mechanism inside the listed company in our country.Lastly it analyzes the problems existing in the current supervision mechanism inside the listed company,which are mainly reflected as: the amended board of supervisors system still has defects,the independent director system also has defects,and there is contradiction and conflict between the board of supervisors system and the independent director system under the legal frame at present.The fourth chapter brings forward the conception on improving the supervision mechanism inside the listed company in our country on the basis of the analyses from previous paper.This chapter firstly considerates the choice of the supervision mechanism inside the listed company in our country,and holds that the current internal supervision mechanism accords with the situation in our country,but the relative regulations are still rough and should be improved.Then it makes suggestion on improving and coordinating the board of supervisors system and the independent director system.
