International factoring is an alternative method of international settlement and financing provided by factors to exporters, which involves collection of accounts receivable, financing, sales ledger administration and credit cover. As a promising field of business, international factoring is playing a more and more important rule in promoting the development of the international trade. With the creation of a new business, legal issues appear. This thesis is to analyze the related legal issues of international factoring on the basis of traditional theory of civil law, which is expected to benefit the legal system of international factoring.In view of the above, the first chapter introduces the definition, origin and the development, classification of international factoring. The second chapter argues about the legal basis of international factoring. Based on discussing the opinions on the legal basis of international factoring, the thesis puts forward its view that the assignment of accounts receivable is the basis of international factoring. Furthermore, it argues the concrete legal issues of assignment of accounts receivable, which including the request, the validity and the legal effect of the assignment of accounts receivable. Combining the UNIDROIT CONVENTION ON INTERNATIONAL FACTORING and CODE OF INTERNATIONAL FACTORING CUSTOMS, the third chapter analyzes the legal relations between the international factoring parties including exporters, factors for exporters, factors for importers and importers. At last, with the knowledge of factoring practical exercises, this thesis analyzes the legal circumstances of international factoring in our China and puts forward the legal suggestions to regulate and prompt international factoring.
