In modern enterprises, Professional Executives are getting more and more important roles. As China having entered World Trade Organization, the enterprises, face dramatically market competition from international and native aspects. And the heavy shortage of the excellent managers have greatly restricted the development of the enterprises and its' capability for competing. In view of today's situation that Professional Executives are out of corporation management again and again in China, after analyzing the reasons, this paper points out that the better way to solute the contradiction of Professional Executive and the Owner of corporation is to construct effective moral incentive, and then demonstrates some ideas about how to develop moral incentive to Professional Executive. This paper consists of four parts. The first part is introduction; the second is the meaning of Professional Executive motivation reach; the third is moral and moral incentive; the fourth is how to found the Professional Executive moral incentive mechanism.
