Due to the insight to Change Resistance, more and more scholars regard individual resistance to the change as the by-product of the mental schema in individual mind that processes the information of change. It is well-known that individual cognition to the change is mostly determined by the process. Therefore a whole or partly understanding the process and putting some good effect on it, individual negative attitude to the change can be transformed effectively and as a result it is useful to decrease the resistance. However the whole process is unknown to the scholars at present, it is impossible to find out an essential way to settle down the resistance.In this article, partly analysis about the process is given and on the basis of Individual Contract with expansion, a new mental schema is constructed. Furthermore, individual cognition to the change is analyzed by means of the mental schema so that a possible way to the resistance can be reached. Additionally, Strebel's individual contract theory is enriched with some relevant concepts of currently popular study, Psychological Contract. To some extent, it enriches the theoretical basis of Change Resistance.The hypothesis is applied to discuss the reform of State-owned enterprises of China since there is great resistance to the change appear in the course because of staff's psychological volatility to the reform. But unfortunately the reformers are still on their way regardless of the employees' thought and feelings. Hence it is necessary to discuss the essence of the resistance in the course and obtain some helpful suggestions to guarantee the reform to success.There are six chapters in this article. The introduction and topic are given in chap.l. Some theories and concepts related to the Change Resistance are introduced in time sequence in chap.2& chap.3, especially the research history of the changeresistance and the important role of insight to individual mental schema to the relief of change resistance reviewed in chap.2, and how constructing the individual mental schema by means of Individual Contract and how adapting the mental schema while confronting with change in order to control individual behavior introduced in chap.3. Some applications of the hypothesis to real problem are given in chap.4& chap.5, particularly the history and necessity of state-owned enterprises reform in China reviewed, in addition the employees' individual contract existing in the Plan Economy analyzed in chap.4, Some proposals on how to reconstruct the individual contract between the employees and organization so as to change the employees' negative attitudes to the change and transform their mental schema are given in chap.5. In summary, the last part, a few problems existing in the study are shown and a new direction of post-study is pointed out.
