The Theory Of Corporate Governance Structure And Governance Structure Of State-owned Enterprises

The reform of the state- owned enterprises are thecentre link to the reform of the economic system in our country. It' s the direction for the reform of the large and middle sized state-owned enterprises to set up modern enterpise system. Company is considered as the main form of the modern enterprise system with corporate governance as the core of it. Basing on the study of the basic theory of corporate governance, the author analizes the corporate governance reform of the state corporations in an all-round way. It' s found that there are many problems in the reform procedure, such as the corporate governance is unreasonable,'Inew four committees" overlappingnew three committeesphenomenon of inner men control" , external markests of goods,labours, managers, stocks are imperfect. So we must follow the general demands of "property rights clarity, duties and rights clear, government and enterprises divided, management scientificdeepening the reform of the property rights, diversifying the main bodies of a corporation, earnestly implementing corporation property rights, breaking the "cardre system" , developing varied markets, perfecting market rules and market medium organizations, to bring about the unity of the internal and external governance.
