Legal system of business registration is an indispensable constructive element of the legal setup under market economy. It has the basic function to maintain the security and improve the efficiency of transaction, which are the safeguard to keep the market economy working and developing smoothly. Therefore, it is a universal request for the countries under the market economy to form a modern legal system of business registration. Since the reform and opening, the transition from planed economy to market economy has been preliminarily finished in our country. The business activities such as market exchange rapidly developed in such a process. The following result is the pluralism of the market participants and the normality and complicating of the commercial activities, which requires a modernized system of business registration to be established.In view of the above understanding, the article takes the system of business registration as research object, intending to offer a little theoretical consult for the legislative practice in business registration through analysis of the system. The study in this article is based on the general questions of the system of business registration, that is to say, the common questions of the registration rules of the different business subjects. Reversely, the special registration rules of all concrete business subjects is not discussed one by one. The approach of comparison is mainly used in the course of the discussion. The writer consciously combines with the foreign legislative experience, analyzing the defects of relative systems in our country and attempting to put forward the revising suggestions.Except for the foreword and the epilogue, the article contains four sections altogether. The first one is the general introduction to system of business registration, in which I briefly introduced its conception, legal nature, history, function and value. Section two is the general problems of legislation of business registration. Through the introduction to legislative style of business registration, I analyzed the current situation of legislative style of business registration in our country and proposed some amendments; through the discussion about legislative value orientation of business registration, I analyzed the value orientation reflected by the present business registration laws in our country and its irrationality, then pointed outthat nowadays, the value of promoting efficiency should be emphasized in legislation of business registration in our country; through the introduction to legislative principle of business registration, I discussed the latest revision of German Commercial Code and pointed out its enlightenment and inspiration to legislative principle of business registration in our country. Section three is the comparison of the basic regulations of business registration. In this part, from the angles of registration authority, items, procedures and effect, I made a comparative study on the basic regulations of business registration among the countries and regions in which the said system is advanced such as Germany, Japan, France, America, New Zealand, Australia, Canada, Taiwan Region and so on. The last section is introspection about the basic regulations of business registration in our country. Based on the comparative study in section three, I comprehensively introspected the basic rules of business registration in our country. Through the comparison and analysis to the basic rules of business registration in foreign countries, I revealed the problems existing in the present rules in our country and proposed some corresponding solutions.
