This dissertation points out the current problems both in the practices ofcompany internal rules and regulations and in the current lacking attention of laborlaw and commercial law system. Through the analysis of the problems andstatement of some foreign countries' relevant practices, the dissertation suggests howour labor law and commercial law should regulate the practice of company internalrules and regulations. With the progressing of marketing economy, companyinternal rules and regulations play a vital rule in company management, and labor law& commercial law can not ignore how to regulate the practice.The dissertation makes the study of reasonable structure of company internalrules from six parts.Firstly it briefly introduces the history of China's company internal rules.Secondly, the dissertation explains briefly the five schools towards the nature ofthe company internal rules.Thirdly, through the investigation and study at enterprises in China, thedissertation studies the status and the existing problems in the formulation process ofinternal rules in China.Fourthly, the dissertation explains the current status of China's labor lawregulation towards company internal rules and then further points out the existingproblems.Fifthly, the dissertation introduces the practices of France, Japan and Taiwan.Lastly, I give some proposals on how China legislation should regulate thecompany internal rules.
