One-member company was born from the ages of the company system development. LAW OF COPORATION acknowledged the legal status of one-member company in our country base on the one-member's legal character and the development history. The paper comprehensively analysed its necessity of special regulation and theory basis, set up the principles and systems of one-member company, which made the present corporation regulayions more subdivided and more concreted. Through improving the one-member company's legal regulations safeguard the transactions and economic order so as to promote the society's economy development.This paper consists of proface, three parts of contens and bibliography. The first part introduces the one-member company's conception and its legal characters after comparing with the traditional company limited and one-stockholder company. And then gave an account of its development history.The second part analysed the necessity of one-member company special regulations and theory basis. Because of the only one stockholder, one-member company was treated as the heterogeneity when its coming into being. But we found the one-member company still had the independence legal person position. One-member company lashed the traditional companys strongly, so the traditional corporation thoery can not regulate it, which demanded that we accepted it and regulated it.
