On The Company's Environmental Responsibility

The corporate environmental responsibility (CER for short) theory is emerged under the specific background. Environmental problems deteriorating involve unceasing research in the 20^th century. For firms have due responsibility to environmental problem and with the concept "corporate social responsibility" (CSR) being deepened, so the time is ripe for critical and informed reflection in the realm of environmental protection. CER is based on the foundation of maximize corporate profits in the interest of shareholders, and voluntarily complete environmental protection. However, the conflict of companies profit maximization goal and social pubic welfare goal impact the concept's unification. In addition, it is impossible to carry on the actual legal operation under this circumstance.The key point to solve environmental problems is to burden corporations with the legal obligation on environmental protection and promote its carrying out. It is a practical need and also an outcome of a series of social conceptions transform. Especially the theory on corporate social responsibility is booming and developing, which afford strong support to undertake the environmental responsibility for corporations. Meanwhile that CER behavior can be rewarded like firms environmental protect image would be improved and it is easier to attract and retainskilled and highly motivated employees. So choosing the theme of corporate environmental responsibility and studying how to promote its implementation is the subject of this thesis. Using the combination of readymade corporation inside governance mechanism and outside monitor mechanism can realize the CER as well.Furthermore, cooperating of corporation law and other public regulation laws will be more advantageous to the CER realization. Thereunto corporate outside monitor mechanism insisting prevention rule includes some administrative ways to control environmental pollution like establishing environmental standards, environmental impact assessment and environmental information disclosure. These public regulation laws are also ideal method to realize CER.
