One-Man Company whose shares or capital belong to one person started as de facto company instead of de jury one. It is a new form in the development of corporate system. One-Man Company determines the mode of risks in operation and provides a more flexible way in running business, avoiding dispute between shareholders. It plays a positive role in the development of modern market-oriented economy. One-Man Company has been a focus of corporation law research in many countries, and different countries have different opinions on One-Man Company. However, it has become an universal legislative trend that most countries have recognized and standardized One-Man Company so as to make it play a positive role in social and economic development and avoid possible negative effect on social and economic order.This paper, starting with the basic concept and nature of one-man company, tries to discuss the legal system of one-man company provided in the new corporation law and its significance, followed by the author's understanding and suggestions of perfect the legal system of one-man company in China. This text divides three parts altogether:First part: General investigation of one-man company. This part is the brief introduction of the concept, nature, production process of one-man company. The rules of one-man company make a great challenge to traditional company legal principle.Second part: Based on the analysis of the legislative conditions of the Corporation Law, the author points out the disadvantage and clarifies the practical significance of establishing One-Man Company legal system in our country, and discusses the legislative system in the law.The third part: This part discusses the legislative perfection of one-man company in our country. The author points out the progress and significance of the regulation on one-man company, as well as countermeasures towards the limitation and problems.Conclude the speech: The increasing development and perfection of the legal system of one-man company will produce a positive impact on the development of China's future economy.
