Certain Intellectual Property Issues In M ​​& Research

With the background of economic globalization, M&A between corporations grows deeper and wider. Intellectual property, as a representation of intangible assets performs more important function during M&A and even becomes the main purpose of competition strategy. In the tide of knowledge economy, intellectual property such as patent, trademark and trade secret play more and more outstanding roles in most of the M&A during corporations. Most of the M&A need dealing with deposition of intellectual property. Therefore, the research on intellectual property is of great significance. This article is focused on the research of several problems of intellectual property during the different stages of M&A, in the purpose of offering some help to succeed M&A.This article is mainly composed of four chapters besides introduction and conclusion:Chapter 1 concentrates on the topic of pre-M&A scrutinization on intellectual property of the target corporation and the practical study on the investigation items of the due diligence of patent rights, trademark rights and business secrets in M&A.Chapter 2 discusses the assessment of intellectual property during M&A, mainly focused on the method and notice of assessment of patent right, trademark right and trade secret right.Chapter 3 expatiates on the post-M&A intellectual property consolidation and states that corporation should consolidate the acquired intellectual property according to self conditions so as to achieve the maximum utility.Chapter 4 introduces several protective rules of M&A concerning intellectual property, analyzing the supervision function of government regarding certain kind of intellectual property during M&A.
