The NGOs are playing a more and more important part global wide with the spreading of the civil society theory. The number of NOGs in China now growing quickly in recently year, and NGOs are working in more and more fields. NGOs are showing their great value in the social affairs management and deal with accidents basing on their advantages and help the government a great deal in the social affairs management in China. But the legislation related to the NGOs is not sufficient. Strictly register rules and double-management system restricted the development of NGOs in China.Through questionnaire survey over some NGO leaders and adopted the method of literature index, the argument of demonstration analyze, I finished this papers on . In the papers, I first introduced the basic theory of the Non-Government Organization and then introduced some advanced legal regulation system of the USA, German, Japan and the Russia. After that I discussed the legal situation of the Chinese NGOs and list out the legal problems they are facing. And at last I give some advice on the NGOs' legal system building on the register rules, their legal status, tax preference and the supervising. To facilitate the development of the NGOs through the legislation on NGOs is a good way to help built the advancement of Chinese socialism and built a harmonious society.
